These Terms of Service ("Terms") govern your access to and use of Sydekiq ("Service"), operated by Sydekiq ("we," "us," or "our"). By purchasing or using the Service, you agree to be bound by these Terms.
Sydekiq provides a fully managed AI agent deployment service. We provision, configure, and maintain a private AI agent on dedicated cloud infrastructure on your behalf. The Service includes server provisioning, agent configuration, uptime monitoring, software updates, and technical support.
The Service requires you to provide your own AI provider API keys (Anthropic or OpenAI). You are solely responsible for:
Your API keys are transmitted securely and stored only on your dedicated server. We do not store, log, or have ongoing access to your API keys after provisioning.
The Service is billed as a one-time setup fee plus a recurring monthly subscription. All fees are charged in USD via Stripe. By providing payment information, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
Setup fees are non-refundable once server provisioning has begun. Monthly subscription fees are non-refundable for the current billing period but you may cancel at any time to prevent future charges.
You may cancel your subscription at any time through the billing portal or by emailing hello@sydekiq.ai. Upon cancellation, your server will be decommissioned at the end of the current billing period and all associated data will be permanently deleted. We recommend exporting any important data before cancellation.
We target 99.9% server uptime and monitor all client servers continuously. In the event of an outage, we will make commercially reasonable efforts to restore service within 4 hours. Scheduled maintenance will be communicated via Telegram with 24 hours notice.
Uptime does not include outages caused by your AI provider (Anthropic/OpenAI), Hetzner infrastructure failures beyond our control, or force majeure events.
You agree not to use the Service to:
We reserve the right to suspend or terminate accounts that violate these terms without refund.
Your data lives exclusively on your private server. Your agent's memory, files, and conversation history are stored only on the dedicated VPS we provision for you — not on our systems, not in shared databases, and not accessible to other clients.
We cannot read your data. Once your server is provisioned, we have no routine access to your agent's conversations, memory files, or workspace. We may access your server only if you explicitly request technical support, and only with your permission.
Your API keys never touch our systems. Your Anthropic or OpenAI API key is transmitted directly from your browser to your server over TLS and stored only on your dedicated server. It is never logged, stored, or accessible in our databases.

What we do not do: We do not sell your data, use your agent's conversations to train AI models, share your information with third parties beyond what is required to operate the Service, or store your API keys anywhere in our infrastructure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYDEKIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 30 DAYS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU USE AI-GENERATED CONTENT AT YOUR OWN RISK.
We may update these Terms at any time. We will notify you of material changes via Telegram or email at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Philadelphia County, Pennsylvania.
